1. Acceptance of these Terms

These Terms of Service govern your access to and use of Stratynex websites, applications, content, programs, tools, communities, live sessions, chart reviews, journaling features, analytics, and related services.

By creating an account, clicking an acceptance checkbox, accessing the platform, purchasing a subscription, joining a live room, or using any Stratynex service, you agree to these Terms and to our Privacy Policy. If you do not agree, do not use Stratynex.

If you use Stratynex on behalf of a company or other entity, you represent that you have authority to bind that entity, and references to "you" include that entity.

2. What Stratynex provides

Stratynex is a trading education and workflow platform. We provide structured lessons, mentorship workflows, chart review experiences, live educational rooms, journaling, analytics, calculators, templates, and practical tools designed to help users improve process quality and trading discipline.

Stratynex is not a broker-dealer, investment adviser, exchange, clearing firm, custodian, or trade execution platform. Stratynex does not place trades, route orders, manage brokerage accounts, custody funds or securities, or make discretionary trading decisions for users.

Platform features may change over time. We may add, remove, rename, limit, or modify features to improve the service, comply with law, protect users, or operate the business.

3. Education only, not financial advice

All Stratynex content, mentorship, analytics, examples, playbooks, scanners, watchlists, calculators, AI outputs, live discussions, and chart reviews are for educational and informational purposes only.

Nothing on Stratynex is personalized investment, tax, legal, accounting, financial planning, or trading advice. Nothing should be interpreted as a recommendation to buy, sell, hold, short, exercise, hedge, or otherwise transact in any security, option, futures contract, cryptocurrency, derivative, or other financial instrument.

You are solely responsible for evaluating whether any information, idea, strategy, tool output, or educational example is appropriate for your objectives, risk tolerance, financial condition, experience, and applicable laws. Consult qualified professionals before making financial, tax, legal, or investment decisions.

4. Trading risk disclosure

Trading and investing involve substantial risk, including the risk of losing some or all of your capital. Options, futures, margin, short selling, leveraged products, and active trading strategies can involve heightened risk and may not be suitable for all users.

Past performance, examples, backtests, simulated results, chart reviews, model outputs, or case studies are not guarantees of future results. Market conditions can change quickly, and losses can occur even when a process is followed.

You should not trade with money you cannot afford to lose. Stratynex does not guarantee profits, reduced losses, trading success, account growth, risk-free outcomes, or any particular financial result.

• Educational examples may omit transaction costs, slippage, liquidity constraints, taxes, borrow costs, assignment risk, margin calls, or other real-world factors.
• Tools and calculators depend on the inputs you provide and may be incomplete, inaccurate, delayed, or unsuitable for your circumstances.
• Live rooms and mentorship discussions are educational environments, not instructions to enter or exit trades.
• Options Trading Specific Risks: Options can expire worthless, resulting in 100% loss of premium paid. Selling uncovered options involves unlimited risk. Assignment can occur at any time with American-style options. Liquidity in some options can be poor, making exits difficult. Implied volatility changes can impact option prices significantly. Early assignment, dividend risk, and pin risk are real possibilities.
• Margin and Leverage Warnings: Trading on margin amplifies both gains and losses. You can lose more than your initial investment. Margin calls can force liquidation at unfavorable prices. Interest charges on borrowed funds compound losses. Pattern Day Trader (PDT) rules may restrict your trading if you have under $25,000.
• Simulated and Backtested Results: Hypothetical examples and backtests do not represent actual trading. Results may not account for slippage, commissions, taxes, or market impact. Past patterns may not repeat in future market conditions. Survivorship bias may overstate historical effectiveness.

5. Account registration and security

You must provide accurate account information and keep it current. You are responsible for maintaining the confidentiality of your login credentials and for all activity under your account.

You may not share your account, resell access, allow unauthorized users to use paid features, impersonate another person, or create accounts to evade restrictions.

Notify us promptly if you believe your account has been compromised. We may suspend or restrict accounts to protect users, investigate misuse, comply with law, or enforce these Terms.

6. Subscriptions, billing, trials, and cancellation

Some Stratynex features may require a paid subscription, course purchase, membership plan, or other paid access. Prices, billing intervals, included features, trial terms, and cancellation rules are shown at checkout or in the applicable plan description.

Payments may be processed by third-party payment providers. By purchasing a subscription, you authorize charges for the applicable fees, taxes, and renewals until you cancel or the subscription ends.

Unless stated otherwise at checkout or required by law, fees are non-refundable once charged. We may update pricing or plan features with reasonable notice. If you cancel, access may continue until the end of the paid period unless the plan states otherwise.

Refund and Cancellation Policy: 30-Day Money-Back Guarantee - If you purchase the Master Trader Program (MTP) or Options Mastery Program (OMP) and are unsatisfied, you may request a full refund within 30 days of purchase if you have completed at least Level 0-2 and can demonstrate engagement with the material. Refund requests must be submitted via email to support@stratynex.com with subject "Refund Request". Monthly/Annual Subscriptions - Platform subscriptions (Scout, Navigator, Explorer) can be cancelled at any time. Cancellation takes effect at the end of the current billing period. No refunds for partial months or unused subscription time. Access continues until the end of the paid period. No Refunds for: digital content already downloaded or completed, live mentorship sessions already attended, accounts suspended for Terms violations, or requests made after 30-day window (course purchases) or after billing period (subscriptions). Chargebacks: Initiating a chargeback without first contacting support may result in account suspension.

7. Your content and trade journal data

You may enter or upload trade notes, journal entries, screenshots, watchlists, reflections, quiz responses, chart images, comments, support messages, or other content. You retain ownership of your content, subject to the rights you grant us to operate the service.

You grant Stratynex a limited, worldwide, non-exclusive license to host, store, process, reproduce, display, analyze, and transmit your content as necessary to provide, secure, support, and improve the platform.

Do not upload content that you do not have the right to use, content that violates law, or sensitive personal information that is not necessary for your use of the platform.

Testimonials and Public Content: If you choose to submit a testimonial, success story, review, or participate in marketing materials, you grant Stratynex the right to use your name, likeness, trading results, and feedback publicly. We may edit for clarity, length, or format. You can request removal at any time by emailing support@stratynex.com. You confirm that shared results are accurate and not misleading. Community and Public Forums: Content you post in public areas (Discord, community forums, comments) may be visible to other users and indexed by search engines. Do not share confidential strategies, personal account details, or information you wish to keep private.

• We may use aggregated or de-identified platform data to improve analytics, education quality, product performance, and internal business reporting.
• We do not claim ownership of your private trade journal entries.
• Deleting an account may delete or de-identify user-related data as described in the Privacy Policy and applicable law.

8. Mentorship, live rooms, and community conduct

Mentorship, live rooms, Discord channels, comments, chat, and community areas are educational and collaborative environments. They are not advisory relationships and do not create a fiduciary, broker, adviser, agency, employment, or partnership relationship.

You agree to communicate respectfully and not post spam, harassment, threats, hate speech, market manipulation, pump-and-dump activity, false performance claims, confidential information, or illegal content.

We may moderate, remove, restrict, or preserve content where needed to enforce these Terms, protect the community, respond to legal requests, or investigate misuse.

9. AI analytics and automated outputs

Stratynex may use automated systems, AI-assisted tools, or analytics models to summarize, classify, score, explain, or organize information. These outputs are decision-support tools only and may be incomplete, delayed, incorrect, biased, or unsuitable for your situation.

You are responsible for independently reviewing any AI or analytics output before relying on it. Do not treat AI output as a trading instruction, financial recommendation, guarantee, or substitute for professional judgment.

We may limit, monitor, or modify AI features to improve safety, accuracy, reliability, compliance, and product quality.

10. Acceptable use

You agree not to misuse Stratynex or interfere with the security, integrity, performance, or availability of the platform.

• Do not attempt to reverse engineer, scrape, copy, bulk export, resell, sublicense, or commercially exploit Stratynex content or features without written permission.
• Do not bypass access controls, rate limits, payment controls, entitlement checks, or security systems.
• Do not upload malware, run automated abuse, harvest user data, impersonate others, or use Stratynex for unlawful activity.
• Do not use Stratynex to coordinate market manipulation, deceptive trading activity, illegal securities promotion, or other prohibited conduct.

11. Stratynex intellectual property

Stratynex, our logos, designs, software, lessons, curriculum, videos, templates, playbooks, frameworks, analytics displays, written content, and platform structure are owned by Stratynex or our licensors and are protected by intellectual property laws.

Subject to your compliance with these Terms, we grant you a limited, revocable, non-transferable, non-exclusive license to access and use Stratynex for your personal or internal educational workflow. No other rights are granted.

You may not copy, distribute, record, publish, train competing models on, create derivative works from, sell, or make public our paid content, live sessions, proprietary tools, or member-only materials without written permission.

12. Third-party services and data

Stratynex may integrate with or link to third-party services, including authentication providers, payment processors, hosting providers, analytics providers, communication tools, market data sources, video providers, and community platforms.

Third-party services are governed by their own terms and privacy practices. Stratynex is not responsible for third-party websites, outages, data, errors, pricing, policies, or content.

Market data, where shown, may be delayed, incomplete, or sourced from third parties. You should verify market data with your brokerage or official data sources before making any decision.

13. Disclaimers

Stratynex is provided on an "as is" and "as available" basis. To the maximum extent permitted by law, we disclaim all warranties, whether express, implied, statutory, or otherwise, including warranties of merchantability, fitness for a particular purpose, title, non-infringement, accuracy, availability, and uninterrupted operation.

We do not warrant that Stratynex will be error-free, secure, uninterrupted, current, complete, profitable, or suitable for your trading needs. You use Stratynex at your own risk.

14. Limitation of liability

To the maximum extent permitted by law, Stratynex and its owners, officers, employees, contractors, affiliates, licensors, and service providers will not be liable for indirect, incidental, special, consequential, punitive, exemplary, or lost-profit damages, or for trading losses, missed opportunities, lost data, service interruptions, or reliance on platform outputs.

To the maximum extent permitted by law, our total liability for any claim related to Stratynex will not exceed the amount you paid to Stratynex for the service giving rise to the claim during the three months before the event giving rise to liability, or one hundred U.S. dollars if you paid nothing.

15. Indemnification

You agree to defend, indemnify, and hold harmless Stratynex and its owners, officers, employees, contractors, affiliates, licensors, and service providers from claims, losses, liabilities, damages, costs, and expenses arising from your use of Stratynex, your content, your violation of these Terms, your violation of law, or your infringement of another party rights.

16. Suspension, termination, and account deletion

We may suspend or terminate access if you violate these Terms, create risk for Stratynex or users, fail to pay required fees, misuse the platform, or if continued service would create legal or operational risk.

You may stop using Stratynex at any time. Account deletion, where available, is intended to remove user-related data from active systems, subject to legal, security, fraud-prevention, accounting, backup, dispute, and legitimate business retention needs described in the Privacy Policy.

Sections that by their nature should survive termination will survive, including intellectual property, disclaimers, limitation of liability, indemnification, payment obligations, dispute provisions, and legal compliance terms.

Inactive Account Policy: If your account remains inactive (no login) for 12 consecutive months, we may send reminder emails to your registered email address. After 18 months of inactivity, we may downgrade paid plans to free tier. After 24 months of complete inactivity, we may delete the account and associated data. This policy helps us maintain platform performance and security. To prevent account closure, simply log in once every 12 months.

17. Changes to these Terms

We may update these Terms from time to time. If changes are material, we may provide notice through the platform, email, or another reasonable method. The updated version becomes effective when posted unless a later date is stated.

Your continued use of Stratynex after changes become effective means you accept the updated Terms. If you do not agree to updated Terms, you must stop using the platform.

18. Governing law and disputes

These Terms are governed by the laws of the State of Delaware and applicable U.S. federal law, without regard to conflict-of-law principles, unless mandatory law requires otherwise.

Before filing a formal claim, you agree to contact us and attempt to resolve the dispute informally. Either party may seek injunctive or equitable relief for unauthorized use of intellectual property, security abuse, or confidentiality violations.

19. Promotional offers, discounts, and free trials

From time to time, we may offer promotional discounts, coupon codes, or free trial periods.

Trial Terms: Free trials allow you to explore paid features for a limited time (e.g., 7 or 14 days). You must provide payment information to start a trial. Unless you cancel before the trial ends, you will be automatically charged the standard subscription rate. You will receive a reminder email before trial conversion. One trial per user; trial abuse may result in account termination.

Promotional Codes: Promotional codes have specific terms, expiration dates, and eligible plans. Codes cannot be combined with other offers unless explicitly stated. We reserve the right to modify or revoke promotions due to abuse or technical error. Promotional pricing may revert to standard rates upon renewal unless otherwise stated.

20. Force majeure

Stratynex will not be liable for any failure or delay in performance due to circumstances beyond our reasonable control, including acts of God (earthquakes, floods, severe weather), war, terrorism, civil unrest, government action, pandemics or public health emergencies, Internet or telecommunications failures, cyber attacks, hacking, denial-of-service attacks, third-party service provider outages (AWS, payment processors, etc.), or market data provider interruptions.

We will make reasonable efforts to resume service as quickly as possible.
